1. TERMS OF WEBSITE USE
This page (together with the documents referred to on it) tells you the terms of use on which you may make use of our website www.protectyourideas.com (our site), whether as a guest, Member or Pro Member. Please read these terms of use carefully before you start to use the site. By using our site, you indicate that you accept these terms of use and that you agree to abide by them. If you do not agree to these terms of use, please refrain from using our site.

2. INFORMATION ABOUT US
www.protectyourideas.com is a site operated by Protect Your Ideas Limited (We or Us). We are a limited company registered in England and Wales under company number 06746206 and have our registered office at 18 Broadwick Street, London W1F 8HS.

3. DEFINED TERMS
The following definitions and rules of interpretation apply in these Website Terms of Use.
Intellectual Property Rights: all intellectual property rights wherever in the world arising, whether registered or unregistered (and including any application), including but not limited to; copyright, know-how, trademarks, confidential information, trade secrets, business names and domain names, trade marks, trade names service marks, logos, patents, petty patents, utility models, design rights, semi-conductor topography rights and database rights.

Materials: includes sound recordings, musical works, literary works including text, scripts and names, artistic works including images, illustrations, technical and creative designs, graphic devices, logos, plans and photographs, audio-visual works including videos, animations and games, dramatic works, proprietary information, software, interactive features, inventions and all other forms of data, proprietary information and copyright works whatsoever in the world now existing or hereafter invented. Words in the singular include the plural and those in the plural include the singular. References to including and include(s) mean respectively including without limitation and include(s) without limitation. Writing or written includes faxes and e-mail.

4. INTELLECTUAL PROPERTY RIGHTS
We are the owner or the licensee of all Intellectual Property Rights in our site, and in the Materials published or available to access in any way on it. Those works are protected by copyright and other laws and treaties around the world. All such rights are reserved. You must not modify or adapt the paper or digital copies and/or other versions or copies of any Materials you have printed off, copied, reproduced, downloaded or accessed in any way, and you must not use any works including any illustrations, photographs, video or audio recordings or any graphics separately from any accompanying works including any text, video or audio recordings. You may only use our site and the Materials for your personal, non-commercial use. Materials on our site are provided to you “as is” and must not be used, copied, distributed, broadcast, displayed, sold, licensed or otherwise exploited for any other purposes including commercial purposes without obtaining a written licence to do so from us or the relevant licensor of such Materials. If you print off, copy, reproduce or download any part of our site in breach of these terms of use, your right to use our site will cease immediately and you must, at our option, return or destroy any copies of the Materials you have made.

5. VIRUSES, HACKING AND OTHER OFFENCES
You must not misuse our site by knowingly introducing viruses, trojans, worms, logic bombs or other material which is malicious or technologically harmful. You must not attempt to gain unauthorised access to our site, the server on which our site is stored or any server, computer or database connected to our site. You must not attack our site via a denial-of-service attack or a distributed denial-of service attack. By breaching this provision, you would commit a criminal offence under the Computer Misuse Act 1990. We will report any such breach to the relevant law enforcement authorities and we will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use our site will cease immediately. We will not be liable for any loss or damage caused by a distributed denial-of-service attack, viruses or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of our site or to your downloading of any material posted on it, or on any website linked to it.

6. ACCESSING OUR SITE
The access and use of our site is permitted on a temporary basis, and we reserve the right to withdraw or amend the service we provide on our site without notice (see below). We will not be liable if for any reason our site is unavailable at any time or for any period. From time to time, we may restrict access to some parts of our site, or our entire site, to users who have registered with us. If you choose, or you are provided with, a user identification code, password or any other piece of information as part of our security procedures, you must treat such information as confidential, and you must not disclose it to any third party. We have the right to disable any user identification code or password, whether chosen by you or allocated by us, at any time, if in our opinion you have failed to comply with any of the provisions of these terms of use. When using our site, you must comply with the provisions of our Acceptable Use Policy. You are responsible for making all arrangements necessary for you to have access to our site. You are also responsible for ensuring that all persons who access our site through your internet connection are aware of these terms, and that they comply with them.

7. LINKING TO OUR SITE
You may only link to our home page with our prior approval and provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it, but you must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists. You must not establish a link from any website that is not owned by you. Our site must not be framed on any other site, nor may you create a link to any part of our site other than the home page. We reserve the right to withdraw linking permission without notice. The website from which you are linking must comply in all respects with the content standards set out in our Acceptable Use Policy. If you wish to make any use of Material on our site other than that set out above, please address your request to admin@protectyourideas.com.

8. LINKS FROM OUR SITE
Where our site contains links to other sites and resources provided by third parties, these links are provided for your information only. We have no control over the contents of those sites or resources, and accept no responsibility for them or for any loss or damage that may arise from your use of them.

9. OUR LIABILITY – YOUR USE OF OUR SITE
The Material displayed on our site is provided without any guarantees, conditions or warranties as to its accuracy. To the fullest extent permitted by law, we, other members of our group of companies, our officers, directors, employees or agents and third parties connected to us hereby expressly exclude:
• All conditions, warranties and other terms which might otherwise be implied by statute, common law or the law of equity.
• Any liability for any direct, indirect, punitive or consequential loss or damage incurred by any user in connection with our site or in connection with the use, inability to use, or results of the use of our site, any websites linked to it and any Materials posted on it, including, without limitation any liability for:
• loss of income or revenue;
• loss of business;
• loss of profits or contracts;
• loss of anticipated savings;
• loss of data;
• loss of goodwill;
• wasted management or office time; and
for any other loss or damage of any kind, however arising and whether caused by tort (including negligence), breach of contract or otherwise, even if foreseeable. This does not affect our liability for death or personal injury arising from our negligence, nor our liability for fraudulent misrepresentation or misrepresentation as to a fundamental matter, nor any other liability which cannot be excluded or limited under applicable law.

10. PROTECTING YOUR IDEAS - UPLOADING MATERIAL TO OUR SITE
Our site allows Members and Pro Members (together the Registered Members) to upload Materials onto our server and be issued with a secure Certificate of Receipt. The Certificate of Receipt will include details of the Registered Member, a brief description of the Material uploaded and a unique Material identification number. A Registered Member seeking to prove he is the author of the Material can use the Certificate of Receipt to support a claim of ownership of the Material by evidencing the time and date that the Material was uploaded by the Registered Member to our site.

10.1 REGISTRATION
In order to upload any Materials onto our site, you must first complete our registration process to become a Member or Pro Member.

10.1.1 MEMBERS
Registration as a Member is free. You will have to provide us with certain personal information (including your name, address and gender) along with a user name and password. On registration, Members will be entitled to one (1) free Material upload.

10.1.2 PRO MEMBERS
Registration as a Pro Member costs £40 which includes the Pro Member’s first year Annual Membership Fee. Pro Members will then be charged an Annual Membership Fee of £40. We reserve the right to vary the Annual Membership Fee at our sole discretion. Registration as a Pro Member will also require that you provide us with certain personal information (including your name, address and gender) along with a user name and password. On registration, Pro Members will be entitled to five (5) free Material uploads.
When registering as a Member or Pro Member with our site your personal information will be stored in accordance with our Privacy Policy. In addition, we may refuse to grant you and you may not use a user name which has already been issued to another site user or for any reason that we in our sole discretion may provide.

10.2 CONTENT OF UPLOADED MATERIALS
Whenever you upload Material to our site you agree to abide by and accept the terms of the Licence Agreement and must comply with the content standards set out in our Acceptable Use Policy. We will not check, review or vet Materials uploaded by you and you warrant that any uploaded Material complies with the standards set out in our Acceptable Use Policy and Licence Agreement, and you indemnify us for any breach of that warranty.

10.3 STORAGE AND COST OF UPLOADING MATERIALS
All Materials uploaded by Registered Members will be stored for 5 years and/or the life of www.protectyourideas.com whichever shall be earlier.

10.3.1 MEMBERS
We will charge Members £10 for each Material uploaded. Each Material uploaded can be up to 25mb. We reserve the right to vary the amount of data that a Member may upload onto our site without notice and at our sole discretion.
Uploaded Materials are not displayed on our site and will not be accessible or disclosed to Registered Members, website users or other third parties. All Materials uploaded by Members will be treated as confidential.

10.3.2 PRO MEMBERS
We will charge Pro Members £8 for each Material uploaded. Each Material uploaded can be up to 25mb. We reserve the right to vary the amount of data that a Pro Member may upload onto our site without notice and at our sole discretion. Unless uploaded to our site’s Open Gallery or Non Disclosure Agreement Gallery (NDA Gallery), all Materials uploaded are not displayed on our site and will not be accessible or disclosed to Registered Members, website users or other third parties.

10.4 PRO MEMBER GALLERIES
Our site provides Pro Members with three galleries in which to display uploaded Materials.

10.4.1 OPEN GALLERY
A Pro Member may display uploaded Materials on the open galleries (Open Gallery) at any time. We reserve the right to limit or vary the number of Materials each Pro Member may display on the Open Gallery without notice and at our sole discretion.
Materials displayed on the Open Gallery can be accessed by all Registered Members and visitors to our site. We reserve the right, at our sole discretion, to remove any and all Materials from the Open Gallery without notice.

10.4.2 PRO MEMBERS’ GALLERY
A Pro Member may display uploaded Materials on the pro members’ gallery (Pro Members’ Gallery) at any time. We reserve the right to limit or vary the number of Materials each Pro Member may display on the Pro Members’ Gallery without notice and at our sole discretion. Materials displayed on the Pro Members’ Gallery can be accessed by all Pro Members. We reserve the right, at our sole discretion, to remove any and all Materials from the Pro Members’ Gallery without notice.

10.4.3 NDA GALLERY
The NDA Gallery enables a Pro Member to invite a Registered Member or third party (Invited Person) to view or access their uploaded Materials on the condition that the Invited Person enters into a Non Disclosure Agreement with the Pro Member. To allow an Invited Person to view uploaded Materials, a Pro Member must first log in to our site with their user name and password. The Pro Member must then identify the Material to be accessed by the Invited Person and click on the Upload to NDA Gallery button on that Material. When the Upload to NDA Gallery page opens the Pro Member must complete the NDA Gallery procedure (NDA Gallery Process). The NDA Gallery Process will require the Pro Member to enter details of the Invited Person (including their name, address and email address) and to select time period during which the Invited Person may view or access the uploaded Material. An Invited Person will only be able to access the Material selected by the Pro Member in the NDA Gallery Process. Once the Pro Member has completed the NDA Gallery Process the selected Materials will be accessible by the Invited Person in the NDA Gallery and we will send an email to the Invited Person on the Pro Members’ behalf inviting them to view the Material. The email will contain a unique temporary user name and temporary password for the Invited Person to access the Material in the NDA Gallery. Once the Invited Person has entered the temporary user name and temporary password, the Invited Person will be directed to the Non Disclosure Agreement. The Non Disclosure Agreement will be between the Pro Member and the Invited Person. The Invited Person will only be able to access the selected Material in the NDA Gallery once the Invited Person has accepted the terms of the Non Disclosure Agreement. We will send the Pro Member an encrypted email to confirm when an Invited Person accepts the terms of the Non Disclosure Agreement before accessing the Pro Member’s Material in the NDA Gallery. The Invited Person will only be required to accept the terms of the Non Disclosure Agreement the first time that he or she accesses the Pro Member’s Material in the NDA Gallery. A Pro Member can invite unlimited numbers of Invited Persons to view the same selected Material or different Materials in the NDA Gallery at any time. We reserve the right, at our sole discretion, to remove any and all Materials from the NDA Gallery without notice.

10.4.4 USE OF OUR NON DISCLOSURE AGREEMENT
We make no representations or warranties and provide no guarantee that our Non Disclosure Agreement will prevent an Invited Person from disclosing your uploaded Materials to third parties. We make no warranties and accept no liability for any direct or indirect loss, damage or harm howsoever caused (but subject to any limitations under English law) sustained or incurred by you when using our Non Disclosure Agreement and/or for any breach of our Non Disclosure Agreement by an Invited Person. We do not review, check, vet or authenticate the name or personal details of any Invited Person and you are solely responsible for the selection of Invited Persons to view or access your Materials. We are not solicitors and we do not give legal advice. We do not make any warranty that the Non Disclosure Agreement will be valid or binding in law and/or that it will meet your requirements and we advise you to take independent legal advice before entering into any Non Disclosure Agreement with a third party.

10.5 REMOVAL OF UPLOADED MATERIALS
A Registered Member or visitor to our site seeking to remove uploaded Materials should email us at admin@protectyourideas.com with details of the Material to be removed and a copy of the Certificate of Receipt or evidence of Material ownership (if applicable).

10.6 ENFORCEMENT OF INTELLECTUAL PROPERTY RIGHTS
We do not enforce Registered Members’ rights including Intellectual Property Rights in any uploaded Materials or adjudicate disputes between site users or a site user and a third party. Should you discover that another Registered Member or third party has infringed your rights in any uploaded Materials, you must enforce your rights directly against the Registered Member or third party. Pro Members are solely responsible for enforcing their rights against an Invited Person under the Non Disclosure Agreement. Should a dispute as to intellectual property ownership of any Material arise, we will at your request and your expense provide you (or a third party at your written request) with a copy of the uploaded Materials, confirmation of the time and date that you uploaded the Materials onto our site and a copy of the Non Disclosure Agreement (if applicable) (Material Confirmation). We will also at your request and your expense provide you with an Affidavit confirming the above if requested. We will charge you a fee for each Material Confirmation (Material Confirmation Fee) and a fee for each Affidavit required (Affidavit Fee). We reserve the right to determine the amount and/or vary the amount of the Material Confirmation Fee and Affidavit Fee without notice and at our sole discretion. Other fees charged by us to confirm or evidence the uploading of Materials onto our site are available on request.

11. LIABILITY FOR UPLOADED MATERIALS
We make no representations or warranties and provide no guarantee that a Certificate of Receipt is evidence conclusive or otherwise of your ownership of any uploaded Material or a conclusive means to enforce your rights including your intellectual property rights. We accept no liability for any direct or indirect loss, damage or harm howsoever caused (but subject to any limitations under English law) sustained or incurred by you due to your use or reliance upon our Certificate of Receipt. Any Material you upload onto our site will be considered confidential and we will take all reasonable precautions to ensure that all uploaded Materials are kept confidential. We except no liability whatsoever (including, but not limited to; loss of income or revenue, loss of business; loss of profits or contracts; loss of anticipated savings; loss of data; loss of goodwill and wasted management or office time) arising from for any disclosure of the uploaded Materials to third parties. We reserve the right to disclose your identity to any third party who is claiming that any Material uploaded by you to our site constitutes a violation or infringement of their intellectual property rights, or of their right to privacy. We will not be responsible or liable to any third party for the content or accuracy of any Materials posted by you or any other Registered Member of our site.

12. RELIANCE ON INFORMATION POSTED
Commentary and other materials posted on our site including without limitation comments and opinions expressed on the Terms Explained page, in the videos in the Editor's Gallery and/or in the Blog are not intended to amount to advice on which reliance should be placed. We therefore disclaim all liability and responsibility arising from any reliance placed on such materials by any visitor to our site, or by anyone who may be informed of any of its contents.

13. OUR SITE CHANGES REGULARLY
We aim to update our site regularly, and may change the content at any time. If the need arises, we may suspend access to our site, or close it indefinitely. Any of the material on our site may be out of date at any given time, and we are under no obligation to update such material.

14. INFORMATION ABOUT YOU AND YOUR VISITS TO OUR SITE
We process information about you in accordance with our privacy policy. By using our site, you consent to such processing and you warrant that all data provided by you is accurate.

15. SEVERANCE
15.1 If any provision (or part of a provision) of these Website Terms of Use is found by any court or administrative body of competent jurisdiction to be invalid, unenforceable or illegal, the other provisions shall remain in force.
15.2 If any invalid, unenforceable or illegal provision would be valid, enforceable or legal if some part of it were deleted, the provision shall apply with whatever modification is necessary to give effect to the commercial intention of these Website Terms of Use.

16. JURISDICTION AND APPLICABLE LAW
The English courts will have exclusive jurisdiction over any claim arising from, or related to, a visit to our site although we retain the right to bring proceedings against you for breach of these conditions in your country of residence or any other relevant country. These terms of use are governed by English law.

17. ASSIGNMENT
We reserve our right to assign, without your consent and at our sole discretion, the benefit of all or any of your obligations, or any benefit we enjoy under these Website Terms of Use (or any document referred to in theses Website Terms of Use) to a third party.

18. VARIATIONS
We may revise these terms of use at any time by amending this page. You are expected to check this page from time to time to take notice of any changes we made, as they are binding on you. Some of the provisions contained in these terms of use may also be superseded by provisions or notices published elsewhere on our site.
